1. Acceptance of Terms

By accessing or using AgentStead ("the Service"), operated by AgentStead Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

AgentStead provides a hosted platform for deploying and managing AI-powered assistants ("Agents"). The Service includes infrastructure provisioning, AI model access (via platform plans or user-provided API keys), channel integrations (Telegram, Discord, etc.), and management APIs.

3. Accounts

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your account credentials and API keys.
  • You are responsible for all activity that occurs under your account.
  • Accounts are for individual use. Sharing account credentials is prohibited.
  • You must be at least 18 years old to use the Service.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Generate, distribute, or facilitate harmful, abusive, threatening, or harassing content.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Attempt to gain unauthorized access to the Service or its infrastructure.
  • Interfere with or disrupt the Service or its servers/networks.
  • Use Agents for spam, phishing, fraud, or any deceptive practices.
  • Circumvent usage limits, rate limits, or billing mechanisms.
  • Resell or redistribute access to the Service without authorization.

5. AI Model Usage

  • Platform AI Plans (Pro AI, Max AI): AI usage is subject to monthly cost caps as described in your plan. Exceeding your budget will pause AI access until the next billing cycle.
  • BYOK (Bring Your Own Key): You provide your own API keys from third-party providers (Anthropic, OpenAI, Google, etc.). You are solely responsible for complying with those providers' terms and managing your usage and costs with them.
  • AI-generated content is provided "as is". We make no guarantees about accuracy, completeness, or fitness for any purpose.
  • You are responsible for the output generated by your Agents and how it is used.

6. Billing and Payment

  • Paid plans are billed monthly in advance. Prices are listed on our pricing page.
  • All fees are non-refundable unless otherwise required by law.
  • We may change pricing with 30 days' notice. Continued use constitutes acceptance.
  • Failure to pay may result in suspension or termination of your account.
  • You are responsible for any applicable taxes (VAT, sales tax, etc.).

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of data as described therein.

8. Intellectual Property

  • The Service, its design, code, and branding are owned by AgentStead Ltd.
  • You retain ownership of content you create and data you upload.
  • You grant us a limited license to process your data solely to provide the Service.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted service. The Service is provided "as is" and "as available". We may perform maintenance, updates, or modifications that temporarily affect availability.

10. Limitation of Liability

To the maximum extent permitted by law, AgentStead Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

  • You may terminate your account at any time by contacting support.
  • We may suspend or terminate your account for violation of these Terms, with or without notice.
  • Upon termination, your Agents will be stopped and your data will be deleted within 30 days.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on the Service. Continued use after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
